Contract Construction: Ambiguity of Terms and Reference to \u2018Surrounding Circumstances\u2019<\/span><\/strong><\/h4>\n<ul>\n<li>The role of ambiguity: what is the test, and if ambiguity exists, what is the consequence?<\/li>\n<li>The scope of \u2018surrounding circumstances\u2019: what evidence is admissible?<\/li>\n<\/ul>\n<p>Codelfa Construction Pty Ltd v State Rail Authority of NSW (1982) 149 CLR 337 established the legal principle that \u2018evidence of surrounding circumstances is admissible to assist in the interpretation of the contract if the language is ambiguous or susceptible of more than one meaning\u2019.<\/p>\n<p>The principle is often relied on, but its application raises two important issues. First, is there \u2018ambiguity\u2019 and if so, to what extent? Secondly, if ambiguity exists, what are the limits of the \u2018surrounding circumstances\u2019 to which reference may be made?<\/p>\n<p>In resolving these issues there is often significant scope for argument.
